Supplementary Agreement
SUPPLEMENTARY AGREEMENT
INCLUDING COURSE OF PERFORMANCE
Supplementary agreement made [Date of Agreement], between [Name of Seller], of [Address of Seller], [City of Seller], [State of Seller], in this supplementary agreement referred to as seller, and [Name of Buyer], of [Address of Buyer], [City of Buyer], [State of Buyer], in this supplementary agreement referred to as buyer.
SECTION ONE:
MODIFICATION OF PRIOR AGREEMENT
This supplementary agreement shall be a modification of the agreement dated [Date of original Agreement] entered into between the parties to this agreement, which prior agreement is referred to in this supplementary agreement as the original agreement. This supplementary agreement is entered into for the purpose of confirming the course of conduct that has developed in the performance of the original agreement.
SECTION TWO:
MATTERS OF ORIGINAL AGREEMENT MODIFIED
The original agreement shall be deemed modified in order to harmonize the original agreement with the actual course of performance in respect to the following matters: [Description of matter].

DEPARTURE FROM ORIGINAL TERMS NOT REGARDED AS BREACH
